MEDICAL AND DENTAL PRIVATE PRACTITIONERS OF ZIMBABWE ASSOCIATION (M.D.P.P.Z.A)

CONSTITUTION FOR MEDICAL AND DENTAL PRIVATE PRACTITIONERS OF ZIMBABWE ASSOCIATION.

    1. NAME OF THE ASSOCIATION

      The Association created in terms of this Constitution and in terms of the Trust Deed registered on 23rd July 2019 shall be known as MEDICAL AND DENTAL PRIVATE PRACTITIONERS OF ZIMBABWE ASSOCIATION (M.D.P.P.Z.A) (hereinafter called “the Association”)

    2. LOCATION – HEAD OFFICE

      The head office of the Association shall be located in Harare at Number 11 Nelson Mandela, Harare.

    3. CONSTITUTION SUMMARY

      The Association was registered on the 23rd of July 2019. It is known as the Medical and Dental Private Practitioners of Zimbabwe Association (M.D.P.P.Z.A).It is an entity capable of suing and being sued in its name.

      The area of operation for the Association shall be initially Zimbabwe but capable of expanding beyond borders as the Association links with fellow practitioners, subject to identification by the local authority thereof

      The Association will work with any organisations that desire to bring inputs and benefits to members of the Association. This can include Insurance companies, other corporates, councils, non – governmental organisations.

    4. DEFINITIONS

      Medical: refers to any person or institutions that offer health services to the people of Zimbabwe. This therefore includes, but not limited to, doctors, nurses, scientists, physiotherapists,

      Dental: refers to any persons or institutions that offer dental services, be they dental therapists or dentists.

    5. VISION

      To become an association of excellence, focus, diligence and reputation for the benefit of the entire medical field.

    6. MISSION

      The Association will intergrate all necessary health services that bring efficiency, relief and convenience to all health stakeholders.

    7. THE OBJECTIVES OF THE ASSOCIATION SHALL BE:-

      1. To improve and advocate for the welfare of medical doctors, dental therapists and dental practitioners registered in Zimbabwe private practice.
      2. To mobilise resources for victims of natural disasters thereby complementing council, government or any other related organisations’ efforts.
      3. To identify and assist areas that have no medical accessibility by establishing pool-funded medical centers.
      4. To train practitioners on both medical and non-medical issues in order to achieve continuous development.
      5. To assist members on social issues such as funerals for members of the association in the event of a member’s death.
      6. To assist in linking health funders.
    1. MEMBERSHIP

8.1         Prospective members shall complete the membership application form annexed to the full constitution and obtained from the Association’s office. There shall also be payment of an annual subscription fee which shall be determined by members at the annual general meeting.

8.3         Cessation

Cessation of membership shall be through:

      1. Expulsion subject to a disciplinary hearing.
      2. Non- payment of subscription fees within a period of 3 months after Annual General meeting.
      3. Resignation or death.
      4. Conviction for fraud or any offence involving dishonesty.

 

      1. THE NATIONAL EXECUTIVE COMMITTEE

The National Executive Committee shall constitute the President, Vice President, Secretary General, Vice Secretary General, Treasurer and Vice Treasurer

10.1       DUTIES OF THE INDIVIDUAL NATIONAL EXECUTIVE COMMITTEE MEMBERS

10.1.1    PRESIDENT
      1. i) Chairing the meetings of the National Executive Committee to ensure orderly conduct of agendas and time allocated to each item, directing discussions and summing up decisions and actions.
      2. ii) Leading the National Executive Committee in strategic planning, financial accountability, fundraising, evaluation of programs performance.

iii)           Arranging annual appraisal of the Executive Committee performance and its individual members.

      1. v) Representing MDPPZA on Key public occasions
      2. vi) To carry out the duties of the Secretary General in the absence of the Secretary General
10.2.1    Vice President
      1. i) Shall carry out the duties of the President in his/her absence.
      2. ii) Shall chair the Disciplinary Committee.
10.2.2    Treasurer
      1. i) Providing financial oversight for MDPPZA and giving advice to the executive committee on the finances and financial control of MDPPZA.
      2. ii) Reporting to the Executive Committee and the Annual General Meeting on the Financial matters and financial standing of MDPPZA;

iii)          Keeping proper books of accounts.

      1. iv) Within three (3) months after the end of each financial year of MDPPZA, cause the accounts of MDPPZA to be audited by such auditors as appointed by the ANNUAL GENERAL MEETING.
      2. vi) Prepare a financial report for the ANNUAL GENERAL MEETING.
10.2.3    Vice Treasurer
      1. i) Shall assist the Treasurer in his or her duties
      2. ii) Shall carry out the duties of the Treasurer in the absence of the Treasurer
10.2.4    Secretary General
      1. i) Convening meetings of the Executive Committee as and when required and upon receiving prior written authority from the President.
      2. ii) Convening Annual General Meetings, Extra Ordinary Meetings and other meetings of the Association upon receiving prior written authority by the President.

iii)           Ensuring that all Executive Committee members receive all executive committee papers and the necessary information in good time before each executive committee meeting.

iii)           Attending the meetings, keeping records and circulating minutes of MDPPZA meetings.

      1. iv) Keeping a register of all names and addresses of all members of the Association.

iii)           Reporting directly to the President

10.2.5    Vice Secretary General

Shall assist the Secretary General as and when required by the Secretary General

10.3.      EXECUTIVE COMMITTEE MEETINGS

The Executive Committee shall meet quarterly during the year.  Where need arise extraordinary meetings shall be held.

      1. THE ANNUAL GENERAL AND OTHER MEETINGS

An Annual General Meeting shall:

      1. Be held once in every calendar year but no more than three months after the end of the preceding financial year on such time and place as may be determined by the President.
      2. Be convened by proper notice given to all members at least four-teen days prior to the holding of the Annual General Meeting.
      3. A copy of the Audit Report shall be posted to each member at least fourteen days prior to the holding of each Annual General Meeting.
      4. The quorum at any Annual General Meeting (AGM) shall be two thirds of paid up members.

11.1.      GENERAL MEETING NOTICE

Notice specifying the place the day and the hour of every Annual General Meeting or General Meeting and the general nature of the business to be transacted at the meeting shall be given in writing, or in such other manner as may be prescribed by the President to those persons and members entitled to receive such notice. Non-receipt of the notice by any person or member shall not invalidate the proceedings of any meeting. Notice may be given either personally or by post or by inviting members to collect such notices from the head office. Where a notice is sent by post service, the notice shall be deemed to have been effected on the third business day from date of posting by properly addressing, preparing and posting a letter containing the notice.

11.2.      THE BUSINESS OF AN ANNUAL GENERAL MEETING

The business of an Annual General Meeting shall include:

      1. The elections of Trustees and other office bearers in compliance with the terms of the Trust Deed and this Constitution .
      2. The consideration of the Annual Report.
      3. The approval and the adoption of the Income and Expenditure Account and balance sheet of MDPPZA for the preceding financial year.
      4. The appointment of auditors for the ensuing financial year as provided for in the constitution.
      5. The adoption of resolutions passed by the Executive Committee where this is required in the Trust Deed and in the Constitution
      6. The consideration of such other business, relevant to the affairs of MDPPZA of which due notice has been given.

11.3       EXTRAORDINARY GENERAL MEETING

An extraordinary meeting shall be called at any time subject to a minimum notice of fourteen days given to all members in accordance with the constitution and upon written approval by the President.

11.4.      DISCIPLINARY COMMITTEE

      1. a) The disciplinary committee shall be constituted of 7 (seven) members elected from the National Executive Committee at an Annual General Meeting or Extra Ordinary Meeting. The disciplinary committee shall be chaired by the Vice President who shall not have the right to vote in the disciplinary committee.
      2. b) The disciplinary Committee shall, subject to two thirds (2/3) majority votes, recommend the dismissal of any National Executive member for serious breach of this constitution and for such reason it may deem valid under the circumstances, in which event such Board member shall no longer be regarded as a member of the National Executive Committee and member of Trustees Board .
      3. c) A Disciplinary Committee and the Vice President as an ex officio member shall be mandated to investigate, hear the matter and make a decision.
      4. d) A dismissed Board member shall have a right to appeal to the National Executive Committee within 14 working days of receiving the decision. For purposes of the appeal only, the disciplinary committee members and the Vice President shall not be part of the National Executive Committee that hears and determines the appeal.
      5. f) The Disciplinary Committee shall be an independent body.
      6. FUNDING AND ACCOUNTS

12.1       Funding

The organization shall be funded through membership subscriptions and contributions; grants and donations from the public; and income – generating projects.

12.2       Accounts

      1. i) The National Executive Committee shall ensure the keeping of proper books of accounts
      2. ii) The treasurer shall, within three months after the end of each financial year of MDPPZA, cause the accounts of MDPPZA to be audited by such auditors as appointed by the AGM, which audited accounts shall be submitted and be tabled at the subsequent Annual General Meeting of MDPPZA.

iii)           The financial year of MDPPZA shall run from 1ST January to 30TH November.

      1. iv) MDPPZA shall have bank account/s at such banks, as the National Executive Committee shall from time to time determine.
      2. v) There shall be five designated signatories to the bank accounts to be elected by the National Executive Committee. These shall include the President and the Treasurer.
      3. AMENDMENTS TO THE CONSTITUTION

13.1       Amendments to this Constitution may be made by a resolution passed by at least two thirds majority of the Annual General Meeting paid up members.

13.2      At least 30 (thirty) days notice of intention to amend this constitution shall be given to the members of the Annual General Meeting.

13.3      Such amendment shall be effective only after approval by two thirds majority of the Annual General Meeting.

      1. DISSOLUTION OF MDPPZA

14.1.      MDPPZA may be dissolved by a resolution of two (2) thirds of paid up members at an Annual General Meeting or a special general meeting where seventy five percent of members shall constitute a quorum.

14.2.      Any proposed resolution to dissolve MDPPZA shall be submitted in writing to the National Executive Committee at least thirty (30) working days before the proposed meeting.

14.3.      The proposed resolution must include a clear proposal for the distribution of any assets held by or in the name of MDPPZA. The final resolution for distribution of the said assets shall be passed by two thirds of paid up members at an Annual or Extra Ordinary General Meeting.

14.4.      In the event of the dissolution of MDPPZA, no resolution may be passed instructing the distribution of MDPPZA’s assets to or among the members of MDPPZA or to individuals or organisations in which members of MDPPZA have or are likely to have an interest, either directly or indirectly.

14.5.      The assets of MDPPZA shall not be distributed, nor shall MDPPZA be dissolved prior to the payment of all its outstanding accounts, debts and fulfillment of its proper and legal obligations to its employees.
